Affiliate Agreement

1. Definitions and Interpretation

1.1 “Company” refers to TENANT ANGELS LTD, the merchant or advertiser.

1.2 “Affiliate” refers to the individual or entity engaging in affiliate marketing activities.

1.3 “Agreement” refers to this Affiliate Marketing Agreement.

2. Apppointment

2.1 Appointment as Affiliate. Company appoints Affiliate, and Affiliate accepts the appointment, to promote Company’s services in accordance with the terms and conditions of this Agreement.

3. Commission & Payment

3.1 Commission Structure. Company agrees to pay Affiliate a commission based on £50.00 GBP for each successful client sign-up generated through Affiliate’s efforts.

3.2 Payment Terms. Payments will be made on a monthly basis, via bank transfer upon invoice. All confirmed sign-ups are subject to a 14-day validation period to ensure the referred person(s) does not subsequently change their mind after signing.

3.3 Tracking and Reporting. Company will provide Affiliate with unique tracking links to monitor and report on the performance of Affiliate’s marketing efforts. Company will record all leads generated via the affiliate’s personal link(s) and report on successful sign-ups.

3.4 Mutliple Occupancy. Please note that whilst we do not cap the number of referrals you can provide and be paid upon, a commission payment is limited to a single address. For example; multiple occupants living at the same address is treated as a single claim and therefore limited to a single referral payment.

However, if you refer two tenants who do not live together (2 unique addresses/properties), this may be treated as two claims and subject to 2 x £50.00 commission payments.

3.5 Existing Clients. If a tenant / client already exists within our records because they have either; previously contacted us directly,  referred by another party or as a result of our marketing activity, a commission fee will not be due. For any avoidance of doubt, please check with the person you’re recommending to us.

4. Promotional Activities

4.1 Compliance. Affiliate agrees to comply with all applicable laws, regulations, and Company’s policies in promoting Company’s services.

4.2 Approved Materials. Company may provide Affiliate with approved marketing materials. Affiliate agrees to use only the approved materials in their promotional activities.

5. Intellectual Property

5.1 Use of Marks. Affiliate is granted a limited, non-exclusive, non-transferable license to use Company’s trademarks and logos solely for the purpose of promoting Company’s services.

6. Term & Termination

6.1 Term. This Agreement shall commence on the Effective Date (the date the affiliate is accepted by Tenant Angels Ltd) and continue until terminated by either party.

6.2 Termination. The Company reserve the right to end this agreement at any time, without reason. Any outstanding payments will be paid to the Affiliate, unless the Affiliate has breached this agreement. Any breach of this agreement will result in an instant termination.

7. Confidentiality

7.1 Confidential Information. Both parties agree to keep confidential any proprietary or confidential information received from the other party.

7.2 3rd Party Information. The Company cannot and will not provide any information regarding leads, sign-ups or details that will be in breach of client confidentiality and GDPR. This includes but not limited to, personal information or details about their case. We will, however, provide non identifiable information to you for commission purposes such as ‘date lead generated’ and ‘date of sign-up’.

8. Miscellaneous

8.1 Independent Contractors. The parties are independent contractors, and nothing in this Agreement shall be construed as creating a partnership, joint venture, or agency relationship.

8.2 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England & Wales.
